Indemnity/Hold Harmless

Customer agrees to take all necessary precautions regarding the rented equipment and protect all persons and property from injury or damage. Customer releases AZEX Pest Solutions from any liability, claims, judgments, attorney fees, and costs, including injuries, death, or property damage arising from the use, maintenance, operation, possession, ownership, or rental of the equipment, except claims arising through AZEX Pest Solutions’ sole negligence or willful misconduct.

Assumption of Risk/Release of Liability

Customer acknowledges the risks of injury or damage from using the rented equipment and voluntarily assumes all such risks. Customer releases AZEX Pest Solutions from any liability for injury or damage arising from the use or operation of the equipment and waives any claims for injury or damage against AZEX Pest Solutions.

Operators

No operators are provided with the equipment.

Receipt/Inspection of Equipment

Customer rents the equipment “as is” and acknowledges that they have inspected and found it suitable for their needs. Customer acknowledges receipt of all items listed in the Rental Agreement and confirms that the equipment is in good working order and understands its proper use.

Possession/Title

Customer’s right to the equipment begins upon delivery or pick up from AZEX Pest Solutions and ends on the agreed retrieval date. Retention beyond this date constitutes a material breach. Title remains with AZEX Pest Solutions. If not returned, AZEX Pest Solutions may retake the equipment without notice or legal process, and Customer indemnifies AZEX Pest Solutions from claims and costs arising from retaking or levy.

Rental Period/Rate/Payment

The rental period is 24 hours unless otherwise specified. Rental charges begin upon equipment delivery and end upon retrieval in acceptable condition. No allowances for non-use periods. AZEX Pest Solutions may terminate the rental and retake the equipment for any violation of terms. An authorization hold may be placed on the provided credit/debit card at rental time.

Ordinary Wear and Tear

Customer is responsible for all damage beyond ordinary wear and tear, which includes exceeding capacities, breakage, improper use, abuse, and lack of cleaning.

Compliance with Laws/Use of Equipment

Customer agrees to comply with all laws and not use the equipment for illegal or unsafe purposes. Customer assumes responsibility for fines, fees, and permits. Equipment must not be operated when in need of repair or in an unsafe condition. Customer must notify AZEX Pest Solutions of any necessary repairs.

Return of Equipment

Customer agrees to return the equipment in as good condition as when received by the agreed retrieval date. Customer is liable for all damages and costs incurred by AZEX Pest Solutions for recovering and returning the equipment. If AZEX Pest Solutions is to pick up the equipment, Customer must provide secure storage and accept all risks.

Disclaimer of Warranties

AZEX Pest Solutions makes no warranties of merchantability or fitness for a particular purpose. AZEX Pest Solutions is not liable for loss, damage, or injury resulting from the equipment’s operation or use. Customer’s sole remedy for equipment failure is termination of rental charges at the time of failure, provided immediate written notification and return of equipment.

Default

If the Customer fails to comply with any Rental Agreement provision, AZEX Pest Solutions may terminate the agreement, retake the equipment, declare charges due, and pursue legal remedies. This does not waive additional remedies.

Retaking of Equipment

AZEX Pest Solutions may retake equipment without notice or legal process. Customer authorizes retaking and holds AZEX Pest Solutions harmless from claims arising from equipment removal.

Legal Fees

In any action to enforce the Rental Agreement, the prevailing party is entitled to reasonable attorney’s fees and court costs.

Subletting/Location of Equipment

Customer agrees not to sublet, loan, or move the equipment from the specified address.

Damage Waiver

Damage waiver is not insurance. By paying an amount equal to 10% of total rental charges and promptly submitting police reports for accidents, AZEX Pest Solutions may waive certain claims for direct physical damage, excluding theft, improper use, overloading, artificial current damage, vandalism, misuse, and illegal use violations.

Notice of Non-Waiver/Severability

Failure by AZEX Pest Solutions to enforce any provision does not waive their right to enforce all provisions. Provisions are severable; unenforceability of one does not affect others.

Insurance

Customer must maintain General Liability and Property Insurance during the agreement term, naming AZEX Pest Solutions as an additional insured and providing a Certificate of Insurance.

Miscellaneous

The Rental Agreement may be executed or delivered by facsimile or email. Customer authorizes AZEX Pest Solutions to charge their credit card account for all charges. Terms apply to all subsequent rentals.

Waiver of Jury Trial

Both parties waive their right to a jury trial for any action arising from this agreement.
